Xerox Corp. acquires Affiliated Computer Services Inc.

The Story
Document management giant Xerox Inc. announced a $6.4 billion acquisition of Affiliated Computer Services, Inc., according to the Wall Street Journal.
Dallas-based ACS manages paper-based work processes and provides business process outsourcing and technology services for a wide range of industries. The company has multi-year contracts with more than 1,700 federal, state, county and local governments, making it the largest provider of managed services for the government in the United States.
The deal is expected to close in the first quarter of 2010, and will be subsequently branded as ACS, a Xerox Company. Xerox expects that ACS will help triple its sales from services to about $10 billion.
Norwalk, Conn.-based Xerox is a leading document management, technology and services business. The company’s portfolio includes a wide range of color and black-and-white document processing products and supplies, and it also provides document management consulting and outsourcing services.
The Research
ACS a “game changer” that will help the company expand its business and benefit from both stronger revenue and earnings growth.
“By combining Xerox’s strengths in document technology with ACS’ expertise in managing and automating work processes, we’re creating a new class of solution provider,” Burns said in a company release.
The company anticipates growth by leveraging the strong Xerox global brand and established client base to grow ACS’ business operations in Europe, Asia and South America. Additionally, Xerox intends to integrate its intellectual property with ACS’ services, creating new end-to-end support solutions for consumers.
Carl Langsenkamp, vice president of global public relations at Xerox, gave WinmoEdge some further insight into the company’s plans post-acquisition. He said that the company’s immediate plans revolve around organizing the companies to ensure a smooth transition.
“We will assemble a transition team to look at all facets of the company to best align the integration,” he said.
According to Langsenkamp, Xerox is aligning its business with the changing demands within the marketplace, and this acquisition fits within its near- and long-term growth goals.
“We are finding that customers are increasingly looking for service providers that offer a full range of solutions with global capabilities and global account management,” he said. “This acquisition will provide those customers with: a global delivery network; a best-in-class foundation of document technologies and services and compelling customer value through innovative, differentiated offerings.”
Langsenkamp said that ACS will retain its Dallas headquarters, operating independently. The company, and its CEO Lynn Blodgett, will report to Burns.
“As the transition team begins its work, it will identify any opportunities and challenges. It’s just too early to say what we will find as we start the process,” he said.
The List database has not yet identified which, if any, marketing or communications firms ACS partners with. New York-based Y&R has served as Xerox Corporation’s agency of record since 1995.
According to The Nielsen Company, Xerox spent about $16 million on media in 2008. About $7 million was spent on network television ads, about $5 million on national magazine ads and about $2 million on cable television ads.
The Direction
Keep Xerox and ACS on a short-term prospect list, as opportunities both domestic and abroad may come to light in the next few months. Blodgett will be running the ACS’ BPO services division as a part of Xerox.
